Terms & Conditions
1. Scope and Provider
These Terms & Conditions ("Terms") govern all coaching services offered by Astrid Ebner, operating under the name The Quiet Part ("Coach", "we", "us"), to clients ("Client", "you").
By booking a session or package, or by making a payment, you confirm that you have read, understood, and agreed to these Terms in their entirety.

2. Services Offered
The Quiet Part offers professional systemic coaching services, delivered online via video call (e.g. Google Meet) or, where agreed, in person. Services are available as:

Individual sessions: single coaching sessions booked and paid for on a per-session basis.

Packages: a defined number of sessions bundled together, booked and paid for as a unit or in agreed instalments.
The specific scope, number of sessions, duration, and price of each service will be communicated prior to booking and confirmed upon payment.
All sessions are conducted in English or German, as agreed between Coach and Client.
3. Nature of Coaching – Important Disclaimer
Coaching is a professional, collaborative process aimed at supporting personal and professional development. It is distinct from therapy, counselling, psychotherapy, or any form of medical or psychiatric treatment.
Coaching does not diagnose, treat, or cure any mental health condition, illness, or disorder. If you are experiencing a mental health crisis, psychological distress, or require medical attention, please seek support from a qualified healthcare professional.
By engaging our services, you confirm that you understand this distinction and that coaching is appropriate for your current situation.
The Coach is not liable for decisions made by the Client as a result of the coaching process. Outcomes depend on the Client's own actions, commitment, and circumstances.
4. Eligibility
Our services are available to individuals aged 18 years or older only. By booking a session, you confirm that you meet this requirement.
5. Booking and Contract Formation
A booking is made via the website (WIX Bookings), by email, or via WhatsApp. A binding contract is formed only upon receipt of full payment (for single payments) or the first instalment (for payment plans), combined with a written or electronic confirmation from the Coach.
If payment is not received within 24 hours before the first session (single payment) or 24 hours before any scheduled session (instalment), the session will not take place and the booking is considered cancelled without obligation on either side.
The Coach reserves the right to decline a booking at their discretion, in which case any payment received will be refunded in full.
6. Payment
6.1 Payment Methods
Payment can be made via Apple Pay, credit/debit card (processed via WIX Payments), or direct bank transfer. All available payment methods will be communicated at the time of booking.
6.2 Payment Deadlines
The following payment deadlines apply:

Single session or full package payment: payment must be received at least 24 hours before the first scheduled session.

Instalment / payment plan: each instalment must be received at least 24 hours before the next scheduled session.
If payment is not received by the applicable deadline, the Coach will assume that the Client does not intend to proceed. The session will not take place and the booking will be treated as cancelled. No further reminder or invoice will be issued. No debt obligation arises on either side.
6.3 Prices and Currency
All prices are stated in EUR (Euro) unless otherwise agreed. Prices are inclusive of all applicable taxes. As a small business under § 19 UStG (German VAT Act), no VAT is charged.
6.4 Late Payment (Instalment Plans)
In the event that an instalment is not received by the applicable deadline during an ongoing package, the following applies:

The next session will not take place until payment is received.

The Coach will send one courtesy reminder. If payment is not received within 14 days of the missed deadline, the Coach reserves the right to terminate the coaching relationship. Sessions already held will be charged at their proportional value; any remaining unused sessions will not be owed.
The Coach does not charge administrative late fees.
7. Cancellation and Rescheduling
7.1 Cancellation or Rescheduling by the Client
The Client may cancel or reschedule a session free of charge, provided notice is given at least 24 hours before the scheduled start time of the session.
If the Client cancels or requests to reschedule with less than 24 hours' notice, the full session fee will be charged and the session will be considered used.
If the Client does not appear for a session without prior notice ("no-show"), the full session fee will be charged and the session will be considered used. No refund or replacement session will be provided.
7.2 Cancellation or Rescheduling by the Coach
If the Coach needs to cancel or reschedule a session, the Client will be notified as early as possible and offered an alternative date at no additional cost.
If no suitable alternative can be found, the Client will receive a full refund for the affected session.
The Coach is not liable for any indirect costs or losses incurred by the Client as a result of a cancellation by the Coach (e.g. travel costs, time off work).
7.3 Cancellation of a Package
If a Client wishes to cancel a package after it has commenced:

Sessions already held will be charged at their full individual session rate (which may differ from the package rate).

Any remaining sessions will not be owed and, if a lower package rate was applied, the difference may be invoiced.

Refunds, if applicable, will be issued within 14 days.
If a Client wishes to cancel a package before the first session has taken place, a full refund will be issued, provided cancellation is made at least 48 hours before the first scheduled session. Cancellations made with less than 48 hours' notice before the first session will incur a cancellation fee equivalent to one session at the standard individual rate.
8. Right of Withdrawal (EU Consumers)
If you are a consumer resident in the European Union, you have the right to withdraw from this contract within 14 days of conclusion of the contract without giving any reason.
However, if you have expressly requested that the service begins before the end of the withdrawal period, and the service has already commenced, your right of withdrawal is forfeited for the portion of the service already delivered.
To exercise your right of withdrawal, please notify us by email at astrid@the-quiet-part.com within the 14-day period.
9. Technical Issues and Online Sessions
All online sessions are conducted via Google Meet or another agreed video platform. It is the Client's responsibility to ensure they have a stable internet connection, a functioning device, and access to the agreed platform prior to the session.
If a session cannot take place or is significantly disrupted due to technical issues on the Client's side, the session will be considered used and the full fee applies.
If technical issues arise on the Coach's side and the session cannot take place, the Coach will offer an alternative date at no cost, or a full refund for the affected session.
In cases where both sides experience technical difficulties and the session cannot be completed, both parties will agree in good faith on a fair solution (e.g. partial credit or rescheduling).
10. Confidentiality
The Coach treats all information shared by the Client during the coaching process as strictly confidential. This includes session content, personal circumstances, and any documentation or materials exchanged.
Confidentiality is maintained beyond the end of the coaching relationship.
Exceptions apply only in the following circumstances:

Where the Client gives explicit written consent to share specific information.

Where the Coach is legally required to disclose information (e.g. by court order).

Where there is a serious and credible risk to the life or safety of the Client or a third party.
The Client's data is processed in accordance with our Privacy Policy, which is available on our website.
11. Intellectual Property
All materials provided by the Coach during the coaching process – including worksheets, frameworks, exercises, written content, and any other resources – are the intellectual property of Astrid Ebner / The Quiet Part.
The Client may use these materials for their own personal development only. Reproduction, distribution, sharing, or commercial use of any materials without the prior written consent of the Coach is not permitted.
12. Limitation of Liability
The Coach provides services with due professional care and to the best of their ability. However, coaching outcomes cannot be guaranteed, as they depend on the Client's own actions, commitment, and circumstances.
The Coach's liability is limited to cases of intent (Vorsatz) and gross negligence (grobe Fahrlässigkeit). Liability for ordinary negligence is excluded to the extent permitted by law.
The Coach is not liable for any indirect, consequential, or economic losses arising from the coaching relationship or from decisions made by the Client.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (e.g. liability for death or personal injury caused by negligence).
13. Changes to These Terms
The Coach reserves the right to update or amend these Terms at any time. The version in force at the time of booking applies to that booking.
Clients will be notified of material changes by email or via the website. Continued use of our services after notification constitutes acceptance of the updated Terms.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
For Clients who are consumers resident in the EU, mandatory consumer protection provisions of the Client's country of residence also apply, where these provide greater protection than German law.
The place of jurisdiction for any disputes arising from these Terms is the Coach's registered place of business in Germany, to the extent permitted by applicable law.
15. Dispute Resolution
The European Commission provides a platform for online dispute resolution (ODR): https://ec.europa.eu/consumers/odr
We are neither willing nor obligated to participate in dispute resolution proceedings before a consumer arbitration board.
We encourage Clients to contact us directly in the first instance to resolve any concerns or disputes amicably.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent.
